BUSINESS TRANSACTION EXAMPLES - Sample Cases and Clients

THE FOLLOWING ARE SOME HISTORICAL CASES AND CLIENTS REPRESENTED BY THE FIRM

BUSINESS FORMATION:  Represented clients in selecting and creating appropriate type of business entity for start-up company.  Company created, governing documents drafted, federal tax ID obtained, and preliminary contracts for business operation created.  Agree to serve as registered agent for company.

PURCHASE AND SALE OF BUSINESS:  Represented company with the sale of the business through preparation, negotiation, and revision of asset purchase agreement whereby company sold the majority of its assets.  Transaction included seller financing for portion of transaction.  Transaction closed.

FRANCHISE PURCHASE:  Represented Seller in the sale of Franchise to buyer, including assignment and assumption of existing lease by landlord. 

OPERATING AGREEMENTS:  Prepared operating agreement for real estate investors desiring to purchase multi-million dollar commercial property. 

BUSINESS AND REAL ESTATE PURCHASE:  Prepared documents for multi-million dollar commercial loan transaction including securitzation of loan and enforcment provisions. 

JOINT VENTURE AGREEMENTS:  Drafting of joint-venture documents for business venture.

BUSINESS CONTRACT:  Create business contracts for new company and revise business contracts as new issues arise with respect to business operations.  Drafting additional documents relating to the operation of the business such as "certificates of completion" and disclosures to be used by company with products and services.

VENDOR CONTRACTS:  Review and negotiate vendor contracts on behalf of business client to adequately protect business client from one-sided contract provisions with out-of-state vendor.

PRIVATE LOAN DOCUMENTS:  Represented party in real estate transaction involving private loan and the deed of trust and promissory note for loan.

REAL ESTATE DEVELOPER:  Represented real estate developer in splitting real property into two separate parcels for development and re-sale purposes.
